This TERMS OF USE AGREEMENT (the "Agreement") is a legally binding contract between Vecting, a company organized under the applicable laws, and the users of its services (the "Users"), related to the access and use of the Vecting tool (the "Tool") and any associated media, channels, mobile websites, or applications. This Agreement outlines the terms and conditions governing the Users’ use of the Tool. Non-adherence to these terms may lead to the immediate termination of User access to the Tool and the cessation of this Agreement.
1. Intellectual Property Rights
Users fully own the thumbnails and any content created using Vecting. However, Vecting reserves the right to use the User's thumbnails in marketing campaigns and for commercial use. The Tool and all other intellectual property rights therein are owned or licensed by Vecting and protected by applicable laws.
2. User Responsibility for Content
Users are responsible for ensuring that the content they upload, including images and other files, complies with legal requirements. Users bear full responsibility for ensuring appropriate licensing of any third-party materials included in their uploads. Vecting is not liable for any unauthorized use of copyrighted materials by Users.
3. Refund Policy
Users are eligible for a refund of their subscription fees for the first three months if they are dissatisfied with Vecting. However, if the subscription was purchased through an affiliate program or using a coupon code, refunds are only available for the first month. Subscriptions can be canceled at any time, and Users should contact support to initiate the refund process.
4. Subscription, Export & Features Availability
Vecting employs a plan-based service with a monthly limit on thumbnail exports, which resets on the billing date. Under the "Starter" plan, Users can export 5 thumbnails per month. The "Growth Master" plan allows for 20 exports, while the "Influencer" plan offers unlimited exports. Some features are not available depending on the plan under which the User is subscribed.
5. User Representations
By utilizing Vecting, Users confirm they possess the legal capacity to enter into this Agreement. Users affirm they are not minors in their jurisdiction and agree to use the Tool for legal purposes only.
6. Prohibited Activities
Users must not engage in activities prohibited by Vecting, including unauthorized access, creation of illegal or offensive content, interference with the Tool, or attempting to reverse-engineer the software. Engaging in these activities may result in termination of access.
7. User Feedback
Feedback provided by Users becomes the sole property of Vecting. Vecting may use any feedback for business purposes without obligation to the User.
8. Management and Oversight
Vecting reserves the right to monitor Tool usage to ensure compliance with this Agreement. Non-compliance may result in restricted access or legal action.
9. Privacy Policy
By agreeing to these Terms, Users consent to the processing of their information as described in Vecting’s Privacy Policy. Users accessing the Tool from other jurisdictions do so at their own risk, complying with local laws regarding data transmission.
10. Modification of Terms and Tool
Vecting reserves the right to modify these Terms of Use and the Tool at any time. Continued use of the Tool post-modification signifies acceptance of the new terms.
11. Connection Interruptions
Vecting does not guarantee uninterrupted access to the Tool and is not liable for any data loss or service interruption.
12. Governing Law
This Agreement and related actions are governed by the applicable laws without regard to conflict of law principles.
13. Legal Jurisdiction
Any disputes arising from this Agreement will be exclusively resolved in the federal courts of the applicable jurisdiction.
14. Disclaimer
The Tool is provided "as is," and Vecting disclaims all warranties, whether express or implied.
15. Limitations of Liability and Indemnification
Vecting and its affiliates will not be liable for any indirect or consequential damages arising from use of the Tool. Users agree to indemnify Vecting against claims resulting from their use of the Tool.
16. User Data
Users are responsible for the data transmitted or activities undertaken using the Tool. Vecting is not responsible for any data loss or corruption.
17. Electronic Communications, Transactions, and Signatures
Users consent to electronic communications and transactions with Vecting, satisfying any legal requirement for written communication.
18. Showcasing Work
Vecting has the right to showcase User work created with the Tool unless explicitly agreed otherwise.
19. Third-Party Partnerships
Partnerships and related transactions may involve third-parties, with Users consenting to necessary data access for functionality.
20. Miscellaneous
This Agreement, with any amendments, constitutes the entire agreement between Users and Vecting regarding the Tool. The failure of Vecting to enforce any right does not constitute a waiver of such right. \
